1. Introduction

These Terms of Use ("Terms") are a binding agreement between you, whether personally or on behalf of an entity ("you" or "your"), and Scoreplay Société Anonyme, a company incorporated under the laws of the British Virgin Islands ("ScorePlay", "we", "us", or "our"), governing your use of:

The ScorePlay Interface — our websites, mobile apps, and related services that allow you to view, analyze, and interact with blockchain-based markets ("Interface").
The ScorePlay Protocol — open-source, autonomous smart contracts deployed on public blockchains that enable the creation, participation, and settlement of markets ("Protocol").

The Interface is provided as a convenience for interacting with the Protocol. You may interact with the Protocol directly without using the Interface. ScorePlay does not operate, control, or have custody over the Protocol, market outcomes, or your funds.

By accessing or using the Interface or Protocol (through the Interface or otherwise), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Interface or the Protocol.

2. Nature of the Service

The Protocol is a decentralized set of smart contracts that anyone can access on the blockchain.
The Interface is one of several possible tools for viewing and interacting with the Protocol.
ScorePlay does not custody funds, execute transactions on your behalf, or act as a counterparty.
All transactions are executed directly between your connected wallet and the Protocol.
The Protocol is non-custodial and immutable — once transactions are submitted, they cannot be reversed.

Certain market configurations accessible through the Interface may be contributed by ScorePlay, by independent market creators, or by other participants. Once deployed to the Protocol, markets operate in accordance with pre-defined logic embedded in the smart contracts. ScorePlay does not control market outcomes and does not provide any guarantee regarding market availability, accuracy, or settlement.

3. Eligibility & Restricted Jurisdictions

You may only use the Interface or Protocol if:

You are 18 years or older; and
You are not located in, incorporated in, or otherwise a resident of any Restricted Jurisdiction.

Restricted Jurisdictions include:

Any jurisdiction subject to comprehensive sanctions (e.g., Iran, Syria, Cuba, North Korea, Crimea, Donetsk, Luhansk).
The United States, United Kingdom, France, Ontario (Canada), Singapore, Poland, Thailand, Belgium, Taiwan.

You must not use VPNs or other tools to circumvent restrictions. Any violation may result in your access being restricted or terminated.

4. User Responsibilities

By using the Interface or Protocol, you agree that:

You control your wallet and are responsible for safeguarding your keys and passwords.
You understand the risks of blockchain transactions, including irreversibility, loss of funds, and market volatility.
You will not engage in fraud, manipulation, or prohibited conduct.
You comply with all applicable laws in your jurisdiction.
You are solely responsible for determining whether your use of the Interface or Protocol is legal in your jurisdiction.
You will not use the Interface or Protocol for any illegal or unauthorized purpose.
You will not attempt to gain unauthorized access to the Interface, Protocol, or any related systems.

5. No Custody, No Control

ScorePlay:

Does not take possession of your funds at any point.
Does not control, alter, or stop Protocol transactions once they are submitted.
Does not act as a counterparty to your transactions.
Cannot reverse or cancel your transactions.
Does not guarantee the resolution, accuracy, or fairness of any market.
Does not provide investment, financial, legal, or tax advice.

Transactions to the Protocol may be made by any wallet, including wallets not affiliated with ScorePlay. The identity of such wallets is not verified by ScorePlay.

6. Protocol Interaction

When you submit transactions via the Interface, they are broadcast directly from your self-custodied wallet to the Protocol.

You are solely responsible for reviewing market rules, settlement criteria, and payout structures before participating.
ScorePlay does not warrant that any market available via the Protocol is free of errors or that settlement data is accurate.
The Protocol may be accessed directly through blockchain transactions, through third-party applications, or through alternative interfaces. ScorePlay does not control and is not responsible for such third-party access or use.
All transactions are public and permanent on the blockchain.
You are responsible for paying all gas fees and transaction costs.

7. Predictions and Trading

V1 Predictions (Pool-Based Markets)

V1 predictions use pool-based betting contracts and require on-chain transactions using the Protocol.
You must have sufficient USDC for bets and gas fees for transactions.
All bets go into a shared pool, and winners split the pool proportionally (minus house fee).
All bets are final once confirmed on-chain.
Fixed outcomes - you cannot exit positions before resolution.
Points are a separate leaderboard system and have no monetary value.

V2 Predictions (LMSR-Based Markets)

V2 predictions use LMSR (Logarithmic Market Scoring Rule) contracts and require on-chain transactions using the Protocol.
You must have sufficient USDC for trades and gas fees for transactions.
All trades are final once confirmed on-chain.
Market odds are determined dynamically by the LMSR formula based on market activity.
You can buy and sell positions before match ends.
We do not guarantee liquidity or market depth.
You may experience slippage on large trades.

8. Rewards and Referrals

Rewards are subject to terms and conditions specific to each reward program.
We reserve the right to modify or cancel reward programs at any time.
Rewards may have expiration dates or other restrictions.
Referral rewards are subject to verification and may be revoked if fraud is detected.
Tax obligations related to rewards are your sole responsibility.

9. Disclaimers

The Protocol is provided "as is" without warranties of any kind, express or implied.
The Interface may become unavailable at any time without notice.
All on-chain transactions are public and outside ScorePlay's control.
ScorePlay does not provide investment, legal, or tax advice.
Your participation in any market is at your sole discretion and risk.
We do not guarantee the accuracy, completeness, or timeliness of any information on the Interface.
We do not guarantee that the Interface will be error-free or uninterrupted.
We do not guarantee any returns or profits from using the Interface or Protocol.

10. Prohibited Conduct

You agree not to:

Violate any applicable law or regulation.
Use the Interface or Protocol for unlawful purposes.
Circumvent geo-blocking or user restrictions.
Attempt to interfere with the operation of the Interface or Protocol.
Engage in market manipulation or deceptive practices.
Use bots, scripts, or automated systems to interact with the Interface without authorization.
Attempt to reverse engineer, decompile, or disassemble the Interface.
Use the Interface to transmit viruses, malware, or other harmful code.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.

11. Intellectual Property

The Interface and associated branding are owned by ScorePlay or its licensors.
The Protocol is open-source and may be used in accordance with its applicable license.
Nothing in these Terms grants ownership rights in the Protocol or its code.
You may not copy, modify, distribute, or create derivative works of the Interface without permission.
Our trademarks, logos, and other intellectual property are protected by law.

12. Limitation of Liability

To the maximum extent permitted by law:

ScorePlay is not liable for indirect, incidental, special, or consequential damages.
ScorePlay's total liability to you will not exceed $100 USD.
ScorePlay is not liable for:
- Loss of funds due to user error, wallet compromise, or smart contract bugs.
- Loss of funds due to blockchain network issues, congestion, or failures.
- Loss of funds due to market volatility or unfavorable outcomes.
- Loss of data or inability to access the Interface.
- Third-party actions or failures.

13. Indemnification

You agree to defend, indemnify, and hold harmless ScorePlay and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of:

Your use of the Interface or Protocol.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Your infringement of any rights of others.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands.

Any disputes will be resolved by binding arbitration seated in the British Virgin Islands, unless otherwise required by applicable law.
Class actions and representative claims are waived.
You waive your right to a jury trial.
The arbitration will be conducted in accordance with the rules of the arbitration institution selected by ScorePlay.

15. Changes to Terms

We may update these Terms at any time by posting a revised version on the Interface. Continued use of the Interface or Protocol after updates constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Interface and Protocol.

We will notify you of material changes by:

Posting a notice on the Interface.
Updating the "Last Updated" date.
Sending an email notification (if you have provided an email address).

16. Termination

By You

You may stop using the Interface and Protocol at any time.

By Us

We may suspend or terminate your access to the Interface if you:

Violate these Terms.
Engage in fraudulent or illegal activity.
Pose a risk to the Interface, Protocol, or other users.
For any other reason at our sole discretion.

Effect of Termination

Your right to use the Interface immediately ceases.
Outstanding transactions on the Protocol cannot be reversed.
We are not obligated to provide refunds.
Provisions that by their nature should survive termination will survive.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScorePlay regarding your use of the Interface and Protocol, and supersede all prior agreements and understandings.
